PROJECT CONTRACT

THIS CONTRACT is made this 3 day of '-1if'lAllh , 1994, by and
between the State of Colorado for the ~enefit of the
Department of Natural Resources (Colorado Water Conservation
Board), hereinafter referred to as the State, and the Town of Erie
and the Erie Water Department, P.O. Box 100, Erie, Colorado, 80516,
hereinafter referred to as the Contractor or Borrower,

WHEREAS, authority exists in the Law and Funds have been
budgeted, appropriated and otherwise made available and a
sufficient unencumbered s'l5a.q.ance ther~of, remp,~M avai1ab,le for

WHEREAS, required approval, clearance.. and coordination has
been accomplished from and with appropriate agencies; ~nd

WHEREAS, pursuant to the provisions of 937-60-119, Colorado
Revised Statutes, the State is authorized to loan and grant money
for the construction of water proj ects for the benefit of the
people of the State of Colorado so long as the State is provided
with security which assures the repayment of said loan; and

wnEREAS, the Town of Erie is a statutory town in Weld County
and Boulder County in the State of Colorado; and

WHEREAS, pursuant to C,R.S. 9 37-45.1-101 et seq., the
Northern Colorado Water Conservancy District, hereinafter referred
to as NCWCD or the District, organized the Northern Colorado Water
Conservancy District Southern Water Supply Project Activity
Enterprise, hereinafter referred to as the SWSP Enterprise, as a
government-owned business within the meaning of Article X, Section
20(2) (d), of the Colorado Constitution, by resolution of the NCWCD
Board of Directors dated August 13, 1993 and attached hereto as
Appendix A; and

WHEREAS, the SWSP Enterprise is developing the Southern Water
Supply Proj ect, hereinafter referred to as the Proj ect, which
consists of modifications to the existing Carter Lake Dam No. 1
Outlet works and replacement of a portion of the St. vrain Supply
Canal and related work, together with pipeline segments to deliver
raw water from existing water supplies available at Carter Lake to
the City of Broomfield and planned connecting pipelines to deliver
