<br />'- <br /> <br />" <br /> <br />. <br /> <br />. <br /> <br />: <br /> <br />the funds, (as provided for in Article V, Section ~), securities, <br />valuable papers I and documents connected with and pertaining to <br />properties and business of the District. The Secretary-Treasurer <br />shall be the chief financial officer of the District. He shall <br />render to the Board, whenever they may require, an account of all of <br />his transactions. He shall furniSh to the Board statements of <br />financial condition on a monthly basis. Any or all of the duties of <br />the Secretary-Treasurer may be delegated to other officers or <br />employees of the District at the discretion of the Board. . <br /> <br />Section 5. Manager <br />The Manager under the direction of the President, shall be the chief <br />executive officer of the District, and shall have general supervision <br />over and be in charge of all of the activities of the District. He <br />shall perform all the duties incident to his position and office. The <br />Manager shall be the chief Budget & Planning, Public Relations and <br />Information, Personnel, Operation, Maintenance, and Replacement <br />Officer of the District. The Manager shall serve as the deputy <br />Secretary-Treasurer, as provided for in Article V, Section ~. Any or <br />all of duties of the Manager may be delegated to other officers or <br />employees of the District at the discretion of the Board. The <br />Manager shall perform such other duties as may be prescribed from <br />time to time by the Board. <br /> <br />Section 6. Additional Duties <br />The officers of the District shall perform such other duties and <br />functions as may be required Irom time to time or delegated by <br />resolution or bylaws or rules of the District or as prescribed by the <br />Board. <br /> <br />, <br />Section 7. Vacancies <br />Should the office of the President, Vice-President, or the <br />Secretary-Treasurer become vacant, the Board shall elect a successor <br />from its membership at the next regular meeting and such election <br />shall be for the unexpired term of said office. Should the office of <br />the Manager become vacant, the Board shall appoint a successor who <br />shall serve at the pleasure of the Board. <br /> <br />Section 8. Absence of Officers <br />Whenever both the President and the Vice-President are unable to <br />attend a meeting of the District, the member of the Board present at <br />such meeting shall designate a temporary President from among the <br />members present who shall preside at: such meeting. <br /> <br />ARTICLE III - PERSONNEL <br /> <br />Section 1. Counsel <br />The Counsel shall be the legal officer of the District, and as <br />directed by the Board and the Manager, shall establish and promulgate <br />legal directives with respect to the District's activities. He shall <br />advise the officers and members of the District as to all legal <br />matters relating to the administration, operation, and financing of <br />
