" <br /> <br />. <br /> <br />d. <br /> <br />Article 4: Powers <br /> <br />The corporation shall have the po.,...er, eit.her directly or <br />indirectly, either alone or in conjunction with or in cooperation <br />with others, to do any and all lawful acts and things and to engage <br />in any and all lawful activities which ~ay be necessary, useful, <br />suitable, desirable, or proper for the furtherance, accomplishment, <br />fostering or attainment of any or all of the purpn~es for which <br />the corporation is organized, and to aid or assist oth0r organi- <br />zations whose activities are such as to further, acco~plish, <br />foster or attain any of such purposes. <br /> <br />Article 5: Regulation of Internal Affairs <br /> <br />5.1 Board of Directors: The general management of the <br />corporation shall be exercised by a Board of Directors in accordance <br />\~i th these Articles and the Byla\.,s of the corporation. <br /> <br />5.2 Bvlaws: The Board of Directors shall have the P9wer <br />to make, alter, amend and repeal the Bvla\.;s. <br /> <br />~ 5.3 Nonnrofit Restrictions: No dividends shall he paid <br />and no part of the income or profit of the corporation shall be <br />distributable to its members, directors, officers, except that <br />the corporation shall be authorized anc empowered to pay reasonable <br />compensation for services rendered and to make payments ano <br />distributions in furtherance of the pu~poses set forth in Article <br />Three hereof. <br /> <br />5.4 Dissolution and Liquidation: Upon the dissolution <br />of the corporation, the Board of Directors shall, after paying <br />0r making provision for the payment of all of the liabilities <br />of the corporation, adopt a plan for the distribution of the <br />assets of the corporation. <br /> <br />Article 6: Registered Office ant: '>.egisterecl Agent <br /> <br />The name and address of the initial registered agent and <br />office of the corporation is Jon K.
