Johnson, Ph.D.

Subj: Continuous coring project
Kiowa, CO

Dear Mr. Johnson:

Layne-Western is pleased to present this proposal for providing a
continuous core of the Denver Basin deposits at a site located
near the Town of Kiowa, CO. Layne would propose using a core rig
capable of coring to a total depth of 2200'. Due to the depth
and expected difficulty of this project, Layne would request
drilling/coring on a 24 hour basis. Layne would estimate the
total project length at 20-25 days depending on the amount of
water sampling activity.

Our scope of work for this project is as follows:

1. Mobilization of equipment
2. Continuous core of alluvial deposits to the top of bedrock
3. Furnish and install permanent surface casing
4. Continuous HQ/PQ wireline coring to 2200'
5. Removal of core steel and hole conditions to allow for
geophysical logging
6. Standby during logging process
7. Abandonment of borehole with bentonite cement grout
8. Standby of 24 hours allowed for educational purposes
9. Provide adequate lighting during night time activities,
temporarily barrlcade work area and excavate/line/restore
mud pit for drilling activities.
10. Allow time for 4 separate water samples by packer testing
11. Provide the following materials: core/drill bits

This proposal is subject to the following clarifications:

1. Work by others: site access and preparation, obtain required
work permits and provide water at no cost to Layne:

<hJn9
