WHEREAS, authority exists in the Law and Funds have been budgeted. appropriated and otherwise made
available and a suffident unencumbered balance thereof remains a~ilable fo~ment in Fund Number 4 00 B

WHEREAS. required approval, clearance and coordination has been accomplished from and with appropriate
llgencies; and

WHEREAS, pursudnt to the provisions of 37-60-119, Colorddo
Revised Stdtutes 1973, as amended, the State is authorized to
construct certain water projects for the benefit of the people
of the State; and

WHEREAS, the Contrdctor is a ditch and reservoir company in
the State of Colorado and wishes to undertdKe repdirs to the
Ceddr Mesa Reservoir spillwdY, hereInafter called the project,
for the Cedar Mesa Ditch and Reservoir shareholders In Delta
County, Colorado, at an estimd'ted cost of Twenty-Four Thousand
DolldCS ($24,000); dnd

WHEREAS, a feasibility investigation of said project was
conducted dnd it was found that such d prnject is economically
feas Lble; and

WHEREAS, the State has dgreed 1.:0 construct said project dnd
to sell the same to the Contractor upon mutually agreeable
terms and conditions, subject to the aVdilability of funding
for that purpose; and

WHEREAS, pursudnt to Sendte Bill No. 439t Fifty-Third
Generdl Assembly of the State of Colorddo, duly cndcted into
law, the Colorddo Wdter Conservdtion BOdrd hdS been d~thorized
to expend d sum noL La exceed Twelve Thousdnd Dollars ($12,000)
for construction of the project;

NOW THEHEFOHE, in consid~tdtion of the mutudl dnd dependent
covendnts herein contdined, it is dgreed by the pdrties hereto
dS follows:

A. The Contrdctor agrees that it shall:

1. Employ an engineering firm to prepare project plans
dnd specifiCdtions for the proposed project. Both the
engineering firm dnd the project plans and specifications shall
be dpproved by the SLale.

2. Suh-conl.rdcl. th(~ consl.ruet.ion of sdid l)rojecL to d
responsible dnd capable firm, sdid project to be completed
within two (2) yedrs of the ddLe of this contrdct in dccorddnce
with the project plans and specifications and any necessary
modificdtion thereof dpproved by lhe State. The Stdte must
approve, in wrillng, dll sub-contracts before they become
effective. The dbove-mentioned time mdY be extended by the
