"Pmlcinant" shall mean the Allocree and any other S'lury with an enforceable <br />contract for an allocation of capaciry in the Pipeline which Entities may change from <br />time to time as permiaed hereunder. <br /> <br />1. "Pipeline" shall mean the Morgan Pipeline thar has been designed, bid and pursuant <br />to the terms of this Contract. constrUcted by the SWSP Enrerprise, as generally <br />described on Exhibit 1 attached hereto and incorporared herein by this reference. The <br />Pipeline is specifically described in the Technical S pecmcarions entitled Southern <br />Water Supply Project, Morgan Pipeline, dated June. 1998. and the Drawings entitled <br />Southern Water Supply Project, Morgan Pipeline. dared June t 998. both prepared by <br />Montgomery Watson, including all addenda and change orders thereto processed <br />pursuant to the constrUction contracrs. such Drawings and Technical Specifications <br />being incorporated herein by this reference. <br /> <br />m. "Subdistrict" shall mean the Municipal Subdistrict. Northern Colorado Water <br />Conservancy District, a political subdivision of the State of Colorado, and a body. <br />corporate with all the powers of a public or municipal corporation, organized and <br />existing by virtue of Title 37. Article 45. Colorado Revised Starutes, as amended. <br /> <br />D. "Subdistrict water" shall mean the quantiry of water acquired and obtained by the <br />Subdistrict from the deveiopmenr and constrUction of the Windy Gap Project <br />pursuant to applicable state law, and which is deliverable to Subdistrict alloaees. <br /> <br />2. Allocation of Caoacitv. <br /> <br />a. SWSP Enterprise covenanrs thar Allottee shall have the perperual. exclusive right to <br />use 9.313 mill}on GPD of capacity in the pipeline from irs point of delivery on the <br />Fort LuptonlHudson pipeline to the delivery point described in Schedule A attached <br />hereto, upon completion of constrUction hereof. Allottee's warer will be delivered to <br />Allottee by SWSP Enterprise through the Pipeline at Allottee's request and on a ye2I- <br />round, continuous basis except for disruptions specifically permitted herein and <br />disruptions resulting from emergencies. Allottee shall not have the right to use <br />capaciry in the Pipeline allotted to any other participant without the express <br />permission of the participant whose capaciry is being utilized, <br /> <br />b. SWSP Enrerprise shall provide Allottee with eighry (80) days' prior written notice <br />of any scheduled disruption in tile delivery righrs of Allottee described herein. Such <br />eighry (80) day notice shall include the date scheduled for initiation and termination <br />of the disruption.
