<br />WHEREAS. re4uircd arrrov:l1. de;H<IlH:e and coordination has been accomplished from and wilh appropriate
<br />agenciC's: and
<br />
<br />WHEREAS, pursuant to the provisions of section
<br />37-60-122(1)(c), Colorado Revised Statutes, as amended, the State
<br />is authorized to prepare feasibility reports on proposed water
<br />projects; and
<br />
<br />WHEREAS, the State has determined that it will cause to be
<br />prepared such a report on the availability of water supplies for
<br />the potential benefit of the Grand Mesa Water Conservancy
<br />District; and
<br />
<br />WHEREAS, the Grand Mesa Water Conservancy District and the
<br />Colorado River Water Conservation District have by previous
<br />letters (Appendices A and B) indicated that they would
<br />participate financially in the proposed feasibility study.
<br />
<br />NOW THEREFORE, it is agreed ~hat:
<br />
<br />1. The Contractor, in consideration for the Statets
<br />promises herein set forth, promises to indemnify, save and hold
<br />harmless and defend the State, and all of its employees and
<br />agents, acting officially or otherwise, from any and all
<br />liability, claims, demands, actions, debts, and attorney fees
<br />arising out of, claimed on account of, or in any manner
<br />predicated upon loss or damage to the property of and injuries
<br />to, or death of all persons whatsoever, which may occur, or is
<br />sustained in connection with the performance of this contract, or
<br />by conditions created thereby, or based upon any violation of
<br />any statute, ordinance, or regulation, and the defense of any
<br />such claims or actions.
<br />
<br />2. The Grand Mesa Water Conservancy District shall, in
<br />consideration of the performance by the State of the covenants
<br />hereinafter set forth, make the sum of One Thousand Dollars
<br />($1,000) available to the State upon execution of this contract.
<br />
<br />3. The Colorado River Water Conservation District shall,in
<br />consideration of the performance by the State of the covenants
<br />hereinafter set forth, make:
<br />
<br />a. The sum of Five Thousand Dollars ($5,OOO) available
<br />to the State upon execution of this contract, and
<br />
<br />b. The sum of Fifteen Thousand Dollars ($15,000)
<br />available to the State on or before January 6, 1986.
<br />
<br />5. In consideration of the sums of money to be paid to the
<br />State by the Contractor, and other good and valuable
<br />consideration, the State convenants that it shall cause to be
<br />made a feasibility study of water supply availability for a
<br />
