WHEREAS. required approval. clearance and coordination has been accomplished rrom and with appropriate
agencies; and

WHEREAS, the State and the Contractor did on December 1,
1981, enter into a contract for state participation in the
improvements of the exis t ing water supply system of the Town of
Basalt, in Eagle county Colorado, which contract is attached
hereto as Exhibit A and is hereby incorpor~ted herein; and

WHEREAS, the construction bids received enabled the
Contractor to complete the project described in that certain
contract dated December 1,. 1981, at a cost less than what was
originally antiCipated. ~

NOW, THEREFORE, in consideration of the mutual and
dependent covenants here.in contained, 'it is agreed by the
parties hereto as follows:

1. The terms and prpvisions of paragraphs A.12., C.l. and I.
of that certain contract dated December 1, 1981, att'a,che'd
hereto as Exhibit A and incorporated herein,by reference are
hereby amended to read as fo~lows:

A.12. Purchase from the State all Qf the State's
tit~, and interest in said project and any facilities
at ~ total purchase price of Four H~ndred Sixty-Three
Seven Hundred Twenty-Three Dollars and Sixty Cents
($463,72J.60), payable in forty (40) annual installments of
Eleven Thousa.nd Five Hundred Ninety-Three Dollars and Nine
Cents (:;;11,593.09) each, which first installment shall be due
and payable on December 1, 1983, and yearly thereafter until
the entire principal sum shall have been paid. Said
installment payments shall be made payabl.e to the Colorado
Water Conservation Boaru, payable at the offices of the said
Board in Denver, Colorado. .

1. Make available to the Contractor for the purpose of
this contract not to exceed the sum of Two Hundred Twenty-Six
Thousand Nine Hundred Seventy-Five Dollars and Twenty-Bour
Cents ($226,975.24). Said Two Hundred Twenty-Six Thousand Nine
Hundred Seventy-Five Dollars and Twenty-Four Cents
($226,975.24) shall be made available to the Contractor in
accordance with the following terms and conditions:

a. Beginning with the monthly period commencing
February 1, 1981, and for every month thereafter
until said project has been completed, the Contractor
shall prepare with the assist.ance of the consulting
engineer referred to in paragraph A.I.' above an
estimate of the funds ~equired from the State for
