therefore. The Town will assume and accept the same, subject to
the terms' 'and provisions of such contractual obligations. A' list
of the contracts to which the District is a party is marked
Exhibit "A', attached hereto and incorporated herein by reference.
The District will further delegate and assign to the Town all of
the District's rights and Obligations. to provide services and the
District's right and entitlement to receive from customers of the
District all outstanding amounts due and payable. The Town will
assume and accept the same. Should some significant obligation of
the District of which the parties are not currently aware become
known within five (5) years of the date of the dissolution of the
District, the Town shall have the right to petition the Court,
following notice to property owners of the District at the time of
dissolution, for authority to assess the cost of such obligation
to the property within the District at the time of dissolution.

4. Continuat.ion of Service Bv Town. The Town will
incorporate the operations of the District into its municipal
water. system. In connection therewith, the Town will provide
water service to real property located within the boundaries of
the District which is consistent with the operations of the Town's
water system within the corporate boundaries of the Town. Future
capital improvements and system upgrades to the former District's
water system will be made by the Town on the same basis as the
Town uses in making such upgrades or improvements to its in-Town
water system. Notwithstanding anything contained herein to the
contrary, however, it is understood and agreed that the Town plans
to discontinue the operation of the District's Warrior's Mark
Treatment plant and to serve that geographic area through the
Town's existing water distribution ,facilities located in that
area. Further, the Town will have two years following the date of
dissolution of the District within which to interconnect to the
District's Peak 7/Silver Shekel system.

5. . Availabi litv - of Future Water Service.' The Town will
continue the services of the District by making available treated
water from its municipal water system to all property which is
located within the boundaries of the District as of the date of
this Agreement. .To the extent that a portion of the property
located within the District is also located outside of the
corporate boundaries of the .Town, this Agreement will constitute a
contract to provide out-of~town water service within the meaning
of Section 12-3-3 of the Breckenridae ~ ~.

6. Water Rates.

6.1 In-Town and OUt-of Town Watp-r Rates. CUstomers of the
District whose property is located within both the boundaries of
the District. and the corporate boundaries of the Town as of the
date of this Agreement will pay for water service received from
the Town at the Town's in-Town water rate. Customers of the
