A. Fountain Mutuallrr;,:ation Company

The Venezia Family, through its engineering conslJltant, Mr. Bruce Kroeker of Ted Zorich and

Associates, Inc. (TZA), has notified AGUA of its inrerest in selling certain water rights in Fountain

Creek. The water rights include 177 shares of the Fountain Mutual Irrigation Company (FMIC), a

three-quarter interest in the Lock Ditch, and a three-quarter interest in the Liston and Love Ditch.

Numerous shares of the FMIC have been changed from irrigation use to augmentation use. Decreed
cases where these changes have occurred include:

The augmentation credits associated with the use of the FMIC shares in these cases has been
established and is used as the basis for estimating the augmentation credits associated with the 177
shares being offered to AGUA.

The FMIC has direct flow water rights and a storage right. The direct flow rights include the following:

FMIC's interest in Priority No.4. In addition to the 5.38 cis, FMIC claims the right to divert any of the
