The water rights. wells and related assets purchased by East Dillon under the two agreements arc
summarized in Table 4 and described below:

1. Vidler Wells Nos. 1-10 located in the Soda Creek alluvium in Summit County. Colorado.
originally decreed by the District Court in and tor Division No.5 (the "Water Court") in Case No.
W-2110. together with all associated permits and appurtenances thereto (the "Soda Creek Wells");

2. 61 consumptive acre feet out ofa total of361 consumptive acre feet of water per year. and
5.28 c.f.s. out ofa total ma'\imum diversion rate 01'31.21 c.f.s. decreed by the Water Court in Case
Nos. W-:!17 and W-2110. as being historically attributable to the Rice Ditch. Soda Creek Ditch.
Phillips Ditch. Rice Ditch-Riley Enlargement. and Rice Ditch-Rice Enlargement (the "Rice Ranch
Rights").

3. 33 consumptive acre feet OUI ofa total of 140 consumptive acre feet of water per year. and
3.05 c.f.s. out of a total maximum diversion rate of 12.96 c.f.s. decreed by the water Court in Case
No. 79CW145 as being historically attributable to the Valaer Ditch. Priority No. 351. originally
decreed for 25 c.f.s. with an appropriation date of February 21. 1941. and an adjudication date of
March 10. 1952. as decreed for diversion at the Soda Creek Wells. allocated on a yearly basis as
follows: 9.90 consumptive acre feet in May; 3.30 consumptive acre feet in June: 6.60 consumptive
acre feet in July: and 13.20 consumptive acre feet between July 31 and April 30111. subject to
paragraph 12 of 79C\\'145 (the "Valaer Ditch Rights"):

River from Dillon Reservoir (the "Dillon Storage \Vater") pursuant to paragraph 6(b) of the
