The original <br />agreement of the 1960's with the District's predecessor has been replaced by a June 23. 1983 <br />Memorandum of Agreement ("1983 Agree-menC). A copy of the 1983 Agreement with Vidler is <br />contained in Appendix A. Under the 1983 Agreement and the earlier agreements. Vidler is the <br />exclusive source of water 10 East Dillon. East Dillon has purchased water from Vidler continuously. <br />Vidler provides raw water. which is treated and distributed by East Dillon. <br /> <br />Vidler purchased water rights and completed Water Coun proceedings necessary to serve East <br />Dillon. Vidler drilled and equipped wells in the Soda Creek alluvium and connected them to East <br />Dillon's system. East Dillon pays annually for the water used under a formula established in the <br />1983 Agreement. <br /> <br />The 1983 Agreemenl also granted East Dillon a right of first refusal to purchase the water rights used <br />by Vidler to supply the District in the event Vidler determined to sell them. In 2000 Vidler gave <br />notice it \-vas selling most of its \Vater rights. including those used to serve East Dillon. to the City <br />of Golden. In lieu of cxercising its right of first refusal. East Dillon entered into two separate <br />agreements. one with Vidler ("Vidler Purchase") and one with Golden and Vidlcr ("Golden <br />Purchase"). <br /> <br />In the VidIer Purchase. East Dillon agreed to buyout Vidler's interest in the 1983 Agreement <br />together with 81 acre feet of consumptive use water rights. the wells. and related assets. A copy of <br />the December 15. 2000 Purchase Agreement is contained in Appendix B. The purchasc price for <br />the total package in the Vidler Purchase is $3.100.000. <br /> <br />In the Golden Purchase, Golden assigned to East Dillon its right to buy from Vidler an additional <br />20 acre feet of consumptive use water rights. A copy of the December 15. :::!OOO. Assignment <br />Agreement is contained in Appendix C.
