<br />3. Additions to the scope of work to be performed by the
<br />Contractor, as set forth in Exhibit A, can be made if mutually
<br />agreed upon by the Contractor and the State and if set forth in a
<br />written letter agreement between the,parties. If such changes
<br />are made, the Contractor shall be compensated fo~ such additional
<br />work on a hourly basis, not to exceed a total of Three Thousand
<br />Dollars ($3,000), at the rates set forth below for the following
<br />personnel of the Contractor:

<br />James Dufford
<br />
<br />$125 per hour

<br />Edwin Ruland.

<br />$ 95 per hour

<br />Amanda Bailey
<br />
<br />$ 85 per hour
<br />
<br />These hourly rates shall include all direct, indirect, and
<br />overhead expenses, except that the actual costs, not to exceed
<br />Five Hundred Dollars ($500), of travel, lodging, 'meals, and long
<br />distance telephone calls shall be separately reimbursed.
<br />
<br />4. Travel undertaken by the Contractor must be approved in
<br />advance by the State except for travel by automobile.
<br />
<br />5. The Contractor or any subcontractor, in consideration
<br />for the State's promises herein set forth, promises to indemnify,
<br />save and hold harmless and defend the State, and all its
<br />employees and agents, acting officially or otherwise, from any
<br />and all liability, claims, demands, actions, debts, and attorney
<br />fees arising out of, claimed on account of, or in any manner
<br />predicated upon loss or damage to the property of and injuries
<br />to,' or death of all persons whatsoever, which may occur, or is
<br />sustained in connection with the performance of this contract, or
<br />by conditions created thereby,' or based upon any violation of any
<br />statute, ordinance, or reguation, and the defense of any such
<br />claims or actions.

<br />6. Payments to the Contractor by the State shall be made as
<br />follows:
<br />
<br />a. Four Thousand Dollars ($4,000) plus the actual costs
<br />incurred through May 31, 1985, for travel, lodging,
<br />meals, and long distance telephone charges shall become
<br />due and payable on and after June 1, 1985, upon receipt
<br />of an invoice from the Contractor which itemizes said
<br />actual costs.
<br />
<br />b. Three Thousand Dollars ($3,000) shall become due
<br />and payable on and after the date which the Contractor
<br />delivers its preliminary d~aft report to the State and
<br />upon receipt of an invoice from the Contractor.
<br />
<br />c. The remaining balance of One Thousand Dollars
<br />($1,000) plus the actual costs incurred from June I,
<br />1985, through the completion of the Contractor's work
<br />for travel, lodging, meals, and long distance telephone
<br />charges shall become due and payable on and after the
<br />date upon which the Contractor delivers its final report
<br />to the State and upon receipt of an invoice from the
<br />Contractor which itemizes said actual costs.
<br />
<br />d. Sums due the Contractor pursuant to paragraph 3
<br />above, if any, shall become due and payable: (1) on
<br />June I, 1985, for the additional work performed prior to
<br />that date, and (2) on the date on which the Contractor
<br />submits its final report for the additional work
<br />performed on and after June I, 1985. Itemized invoices
<br />requesting payment for such additional work shall be
