(collectively the -Longmont Cases-I. In addition, Longmont has
previously decreed more senior water rights involving North and
South st. Vrain Creeks not identified above.

D. Highland is a co-applicant with Longmont in Case
No. 87CW253 involving the application for change of water rights
for McIntosh Reservoir.

E. The CWCB, Longmont and Highland desire to settle
further opposition to the CWCB Cases and resolve the relative
priorities between the Longmont Cases and the CWCB Cases.

AGREEMENT

1. Longmont consents to the entry of a judgment and
decree in Case No. 87CW278 upon terms and conditions consistent
with the application filed therein.

2. Longmont and Highland consent to the entry of a
judgment and decree in Case No. 87CW282 for the stream reach
identified in paragraph 2(a) below, provided however, the
instream flow amounts and periods claimed are modified as set
forth in paragraph 2(b) below:

a. The natural stream channel from an unnamed
tributary located approximately 200 feet downstream from Button
Rock Dam in the SW1/4 NE1/4 of Section 20, T. 3 N., R. 71 W. of
the 6th P.M. as the upstream terminus and extending to the
confluence with South st. Vrain Creek in the SE1/4 SE1/4 of
Section 18, T. 3 N., R. 70 W. of the 6th P.M. as the downstream
terminus being a distance of approximately 10.0 miles. This
segment can be located on the Lyons U.S.G.S. quadrangle.
