(e) The parties have installed a flow meter toT
determine the amount of wastewater being delivered by Silveri
Plume for treatment. The parties agree that the cost of the
meter and its installation shall be paid proportionately by the
parties in accordance with the prior agreement dated July 30,
1976, which is identified above. The cost of operation and
maintenance of the flow meter will be borne proportionately
between the parties as provided in section III of this agreement.

(f) No less than annually, the flow meter-
identified in (e) above and the totalizer meter located at the
waste water treatment plant shall be calibrated by an independent
party, agreeable to the parties, and the cost thereof shall be a
cost of operation to be split proportionately between the parties
pursuant to this agreement. If any party to this agreement
requests a more frequent or additional calibration of either or
both meters, the requesting party shall be fully responsible for
the cost of the additional calibration.

II. DISTRICT/GEORGETOWN:

The parties agree that the rights and
responsibilities of the District and Georgetown are governed by
the operations agreement between the District and Georgetown,
dated March 2, 1977. Upon dissolution of the District pursuant
to said operation agreement, Georgetown shall be responsible for
all rights and obligations of the District and Georgetown
pursuant to this agreement.

(A) The Town of Silver Plume has constructed an~
the District/Georgetown have maintained a main trunk line
connected with Silver Plume's outfall line at Manhole T-ll, as
described above. The main trunk line shall be d.eemed to be an
integral part of the District/Georgetown's wastewater system, and
they shall be solely responsible for the operation anq
maintenance of the main trunk line.

(B) It shall be the sole responsiblity of th~
District/Georgetown to transport Silver ..Plume's wastewater from
the point of connection at Manhole T-ll to the wastewater
treatment facility, and the parties specifically agree that
silver Plume shall not be liable for any act or omission of the
District/Georgetown with respect to the transmission of
waste-water from the point of connection to the waste water
treatment facility.

(C) The District/Georgetown's wastewater system:
main trunk line, and treatment facility shall remain the property
of the District/Georgetown. They shall be responsible for the
operation and maintenance of their joint system, including
the treatment facility, and Silver Plume shall not be liable for
