WHEREAS, it is the op~n~on of Silver Plume, acting by
and through its Board of Trustees, and Georgetown, by and through
its Board of Selectmen, and the District, by and through its
Board of Directors, that the avoidance of such duplication of
expense and services is mutually advantageous to all the parties
hereto;

NOW THEREFORE, in consideration of the mutual promises
and covenants herein contained, the parties agree as follows:

I. SILVER PLUME:

(a) Silver Plume has constructed an outfall
pipeline pursuant to plans and specifications prepared by A & S
Consultants, Inc. of Montrose, Colorado, which connects with the
main trunkline of the District and Georgetown at Manhole T-11, as
described in said plans and specifications (which is located at
15th and Argentine in Georgetown).

(b) Silver Plume's outfall pipeline is hereby
deemed to be an integral part of Silver Plume's wastewater
system, and Silver Plume shall be solely responsible for the
operation and maintenance of the outfall pipeline. The parties
hereto specifically agree that no connections shall be made to
the outfall pipeline without the prior written consent of Silver
Plume. Silver Plume shall be responsible for delivering its
wastewater to the connection point of the outfall pipeline with
the main trunk line at Manhole T-11.

(c) Silver Plume agrees to abide:by and conform
to all applicable rules and regulations with respect to the
quality and type of wastewater transported through the outfall
pipeline for treatment by the District and Georgetown, including
the applicable provisions of any permits required by any state or
federal agency. Silver Plume agrees, upon written notice from
any applicable governmental agency, to take ~ll reasonable
required steps to eliminate any violation of applicable rules,
regulations, or permit requirements. '

(d) Silver Plume's wastewater system and the
outfall pipeline shall remain the property of Silver Plume.
Silver Plume shall be responsible for the operation and
maintenance of its own system and outfall pipeline and the
District and Georgetown shall not be liable for any act or
omission of Silver Plume with respect to such operation and
maintenance. Further, the parties agree that all customers
connected to Silver Plume's system and outfall line above the
flow meter (which is located at Loop Drive and Brownell in
Georgetown) are customers of Silver Plume. The parties agree
that there shall be no taps to the line between the flow meter
and Manhole T-11 without the prior written consent of the
parties.
