Our base contract is directly with the State of Colorado through the
Colorado Water Conservation District. In order to complete the work for this project, our fees
will need to exceed the base contract. It is our understanding that the City of Sterling has
funds available to cover our expected overruns. At this time, it is difficult to determine total
fees since the environmental work that may be required is not known at this time, It is our
recommendation that we proceed with the work on the assumption that additional fees will be
made available from the City on a time and materials basis with a not-to-exceed without prior
authorization cap of $5,000.00, If you are in agreement with this concept, please sign and
return one copy of the enclosed Agreement, which will serve as our Notice-to-Proceed,

We look forward to working with you on this very important project.

Sincerely,

Accepted By:

ICON Engineering, Inc.

City of Sterling

~WJ

Penn Gildersleeve, PE
Principal

Joseph Kiolbasa, PE
Public Works Director

cc: Larry Lang, CWCB
