Property Acquisition
On March 1, CDOW exercised its option on the Chiles property for a purchase price of
$1.10 million. Closing is expected to occur no later than June 30, 1998 in accordance
with the terms of the purchase agreement.

Feasibility Summary Report
The CWCB and CDOW staffs are currently compiling a feasibility summary report on the
NASF based on the requirements in the CWCB Construction Fund Guidelines. The report
will draw primarily from existing documents prepared over the last several years as
updatedJor recent developments. Feasibility work is expected to be completed by the
end of March.

Some of the issues being addressed in the report are:

· the adequacy of the water rights and wells included in the purchase of the Chiles
property,

· water quality testing in terms of suitability of the well water for use in the facility, and

· possible impacts and permitting of the facility.

Memorandum of Understandine
A memorandum of understanding (MOO) between the CWCB and CDOW for the design, .
construction, and initial operation of the facility has been drafted by the staffs of the two
agencies (copy attached). The major provisions of the MOO are:

· Total disbursements by the CWCB to CDOW under the MOO will not exceed $2.0
million of which no more than $200,000 will be allocated to operation and
maintenance costs.

· Total disbursements under the MOO for construction, operation and maintenance will
not exceed 40 percent of the actual cost to construct, operate and maintain the facility
for three years following completion of construction.

· The CWCB will not disburse any grant funds prior to closing by the CDOW on the
Chiles property.

· CWCB staff will participate in design and construction activities including selection
of the design engineer, review of plans and specifications, construction bid opening,
site visits, and approval of pay estimates for CWCB 's portion of construction costs.

· The facility will be owned and operated by the CDOW but operation and maintenance
will be undertaken in consultation with the CWCB on an annual basis regarding
budget, research and genetics, production, and goals for augmentation. . ~
