"Parks Lands:" shall mean the portions of the <br />Project Lands not covered by the definitions of <br />"Project Flood Conveyance Lands" and "Project <br />Recreation Lands." <br /> <br />c. "Public Recreational Facilities:" shall be those <br />public recreational facilities which are more fully <br />described in Exhibit D of the May 25, 1988 Agreement <br />between the corps and the Grantee a copy of which is <br />attached hereto as Exhibit B and incorporated herein by <br />this reference. <br /> <br />NOW THEREFORE, FOR AND IN CONSIDERATION OF THE MUTUAL <br />PROMISES AND AGREEMENTS HEREINAFTER EXPRESSED, IT IS HEREBY <br />AGREED THAT: <br /> <br />1. A copy of the Resolution duly passed by the Board of <br />Directors of the Grantee, as provided by its Rules and Regula- <br />tions approving and authorizing the Chairman and Secretary to <br />enter into this Contract for Conveyance of Easement is attached <br />hereto as Exhibit C and incorporated herein by reference. <br /> <br />. <br /> <br />2 Copies of the two agreements dated september 7, 1977 <br />and January 29, 1980 between the Corps and the Grantor which give <br />the Grantor responsibility for acquiring land, easements, and <br />rights-of-way for the project after construction has been com- <br />pleted are attached hereto as Exhibits D and E, respectively, and <br />incorporated herein by this reference. <br /> <br />3. The Grantor agrees to convey to the Grantee an Easement <br />for the sole purposes of constructing, operating, and maintaining <br />the Public Recreational Facilities enumerated in Exhibit D of the <br />corps Agreement only on, in and across the PUblic Recreational <br />Lands portion of the Project Lands of the Grantor within Reach 2 <br />of the Project area which are illustrated on Exhibit A and which <br />are described in Exhibit F, which is attached hereto and thereby <br />incorporated herein by reference for the period hereinafter de- <br />scribed. The Public Recreational Facilities which may be con- <br />structed, operated and maintained by the Grantee on the lands <br />covered by the Easement shall be limited to those specified in <br />Exhibit D of the Corps Agreement. The Grantee shall provide the <br />Grantor with "as built" drawings for all such Public Recreational <br />Facilities. Those drawings shall be updated on an annual basis. <br />All recreational facilities constructed by the Grantee pursuant <br />to this easement shall be open to public use. <br /> <br />. <br /> <br />4.
