First of all, Colorado ute is a public utility, as you all know. It
serves 13 member systems throughout the state of Colorado. We'hold a
certificate of Public Convenience and Necessity to sell at wholesale to
these 13 member rural systems all their power and energy requirements.
These systems, basically, serve all, of the land mass of western Colorado,
except for a small strip from Grand Junction to Glenwood Springs on the
north side of the COlorado River, which is served by the Public Service I
Company of Colorado; a very small portion of western Moffatt county,
which is served by the Moon Lake Electric Association; and all. the rest
of the area is served by the member system.

We share about one-half of the San Luis Valley with the Public Service
Company of Colorado and also about one-half of the Arkansas Valley
so that we serve the southern tier of counties all the way across
southern Colorado and the portion west of the Continental Divide.

To review with you just briefly, our major generating source right now
is the Hayden generating station at Hayden, ColOrado. That is a two-
unit station. Colorado ute owns all of Unit 1, which is 184 megawatts.
We are presently a 20-percent owner of Unit 2; and the Salt River
project of Phoenix, Arizona, owns 80 percent of that unit.. In 1982, we
have the right to recapture, and have already given Salt River notice,
to recapture an additional 30 percent of that unit., And that will make
us a 50-50 owner with the Salt River project. At the end of 35 years,
the entire station becomes the property of Colorado ute, including all
the water rights and everything with it. The water rights are owned by
Colorado Ute. Salt River, of course, has the right to use the water.
necessary for their portion of the station.

, We have, just to the east of the station, a point of diversion. We have
flow rights in the Yampa River for 30 cfs of water.

-2-
