Pursuant to a meeting last week with the staff of the
Colorado Water Conservation Board, the language we composed
for the Stipulation has been slightly modified. For purposes
of clarity, I will set forth the entire paragraph as it is
now proposed to read:

J. The subj ect water. rights shall be administered
as being subordinate (junior in priority) to the
instream flow water right of the Colorado Water
Conservation Board on behalf of the People of the
State of Colorado as decreed in Case No. 80CW379,
Water Division No.1. However, the term and condi-
tion in this subparagraph J may be modified in a
future decree changing the points of diversion
specified in paragraph 12. This paragraph J. does
not prejudice any parties' right to oppose or
support a change in this term and condition in a
subsequent proceeding.

The above language will be presented for approval at the
Board meeting on January 14, so if you desire to discuss this
matter please contact me prior to that date.
