THIS CONTRACT, Made this ~ day of August, 1984, bet~een
the UNITED STATES OF AMERICA, acting through the Bureau of Reclamation,
Depart~nt of the Interior, represented by the contracting officer
executing this contract (hereinafter called Reclamation) pursuant to
the Act of June 17, 1902 (32 Stat. 388) and acts acendatory and supple-
mentary thereto including, but not limited to, the Act of March 4, 1921
(41 Stat. 1404); the Act of December 5, 1924 (43 Stat. 685, 704); the
Act of August 4, 1939 (53 Stat. 1187); the AcE.. of June 13, 1962 (76
Stat. 102); the act of August 16, 1962 (76 Stat. 393); and the Act of
June 24, 1974 (88 Stat. 270); and CORY COMPANY, INCORPORATED, a cor-
poration organized and existing pursuant to the la~s of the State of
Colorado (hereinafter called CORY).

WITNESSETH:

WHEREAS, Reclamation has responsibilities of studying and pro-
viding ~ater storage facilities for the purpose of supplying ~ater.for
irrigation, municipal and industrial users and other entities throughout
the State of Colorado; and

WHEREAS, CORY and its associated companies own or control ~ater
right applications ~hich have been filed in Colorado ~ater courts as to
71 terminal glacial moraines and are engaged in the business of studying,
developing; financing, and building ~ater projects and intend to utili~e .
terminal glacial moraines as a method of providing ~ater storage facilities
for the purpose of supplying ~ater for municipal and .industrial and irriga-
tion uses and other entities throughout the State of Colorado; and

WHEREAS, Reclamation has a continuing responsibility to study
the safety of its existing facilities and the quality of ~ater in the Colorado
River System including studying and evaluating the potential of reducing direct
depletions and transmountain diversions from the System and improving and main-
taining minimum streamflows and therefore desires to study the potential of
improving the yield and operations of'existing Reclamation storage and distribu-
tion facilities through the integration of glacial moraine storage; and

WHEREAS, Reclamation may be able to recapture Federal investment of
Federal ~ater projects SOoner by marketing ~ater froc these glacial moraines in
conjunction ~ith existing Federal reservoirs; and

~HEREAS, a large majority of said glacial moraines are located on
lands of the United States of America; and
