The Company has 88
shareholders with 1290 shares of stock. Average annual diversions from the South Platte
River are 23,563 acre-feet, or about 18 acre-feet per share. The ditch has a water right of
113.9 cfs. Assessments are currently $40 per share and the Company has no existing debt.

The Sterling Irrigation Company diversion is located about 8 miles southeast of Sterling,
in Logan County. The diversion and headgate system was damaged by floodwaters in
1995, and again in 1997. The Company completed emergency repairs so water could be
diverted in 1998, however the diversion is old and in poor condition. Problems include
sand plugging the ditch, trees hanging up on the diversion, and no way to adjust the
diversion during high water in order to pass flood flows.

The Company plans to install a diversion and headgate system similar to that of the South
Platte Ditch and the Weldon Valley Ditch, both of which were funded with loans from the
CWCB. These projects have been completed and are operating well.
