<br />9 <br />I <br />.~ <br /> <br />transmission is completed to the trustees' address or number. The attendance of a <br />trustee at a meeting shall constitute a waiver of notice of such meeting, except where a e <br />trustee attends a meeting for the express purpose of objecting to the transaction of any <br />business because the meeting is not lawfully called or convened. Neither the business to <br />be transacted at, nor the purpose of, any regular or special meeting of the Board of <br />Trustees need be specified in the notice or waiver of notice of such meeting. <br /> <br />4.8 Quorum. A majority of the number of trustees including the presence of <br />trustees at multiple locations through audio or audiovisual conferencing facilities or other <br />communications media or by proxy shall constitute a quorum for the transaction of <br />business at any meeting of the Board of Trustees, but if less than such majority is <br />present at a meeting, a majority of the trustees present may adjourn the meeting without <br />further notice. <br /> <br />4.9 Manner of Acting. The act of the majority of the trustees present at a <br />meeting including the presence of trustees at multiple locations through audio or <br />audiovisual conferencing facilities or other communications media or by proxy at which a <br />quorum is present, shall be the act of the Board of Trustees. <br /> <br />4.10 Removal of Trustees. At a meeting of trustees called expressly for that <br />purpose, by a vote of two-thirds concurrence of the trustees present and voting, any <br />member of the Board of Trustees may be removed who has missed three consecutive <br />meetings, or for reasons of health, and a new trustee may be elected to fill the vacancy <br />so created. <br /> <br />4.11 Vacancies. Any vacancy occurring in the Board of Trustees shall be e <br />filled by the Executive Committee. The term of any trustee so chosen shall be for the <br />unexpired term of the predecessor trustee. <br /> <br />4.12 Compensation. Trustees shall serve without compensation; however, <br />by resolution of the Board of Trustees, the trustees may be paid their reasonable <br />expenses, if any, of attendance at each meeting of the Board of Trustees. <br /> <br />4.13 Presumption of Assent. A trustee of the foundation who is present at a <br />meeting of the Board of Trustees at which action on any corporate matter is taken shall <br />be presumed to have assented to the action taken unless the trustee has expressed his <br />or her dissent at the meeting. Such right to dissent shall not apply to a trustee who voted <br />in fayor of such action. <br /> <br />4.14 Informal Action by Trustees. Any action required to be taken at a <br />meeting of trustees, or any other action which may be taken at a meeting of the trustees, <br />may be taken without a meeting if a consent in writing, setting forth the action so taken, <br />shall be signed by a majority of all the trustees when all Trustees have been granted the <br />reasonable opportunity to so act. <br /> <br />ARTICLE 5 - OFFICERS <br /> <br />5.1 Number. The officers of the foundation shall be a president, a vice <br />president, a secretary and a treasurer, each of whom shall be a member of the <br />Executive Committee.
