<br />, <br />\~ <br /> <br />BYLAWS <br />of <br />COLORADO WATER EDUCATION FOUNDATION <br /> <br />ARTICLE I - NAME <br /> <br />e <br /> <br />The name of the foundation is COLORADO WATER EDUCATION <br />FOUNDATION, referred to herein as THE FOUNDATION, and/or CWEF, and/or <br />COLORADO WATER EDUCATION FOUNDATION. <br /> <br />ARTICLE 2 - PURPOSE AND MISSION <br /> <br />The purpose and mission of the COLORADO WATER EDUCATION <br />FOUNDATION is to ensure that Colorado citizens will understand water as a limited <br />resource and will make informed water-related decisions. The Foundation will <br />promote a better understanding of water issues through educational opportunities and <br />resources. <br /> <br />ARTICLE 3 - OFFICES <br /> <br />3.1 Principal office. The principal office of the foundation shall be located in <br />the State of Colorado. The foundation may have such other offices as the Board of <br />Trustees may designate or as the business of the foundation may require from time to <br />time. <br /> <br />3.2 Registered office and Agent. The registered office of the foundation <br />required by the Colorado Nonprofit Corppration Act to be maintained in the State of <br />Colorado may be, but need not be, identical with the principal office in the State of <br />Colorado. The registered agent and the address of the registered office of the foundation <br />may be changed from time to <br />time by the Board of Trustees. <br /> <br />e <br /> <br />ARTICLE 4 - BOARD OF TRUSTEES <br /> <br />4.1 General Powers. The business and affairs, policies, and priorities of the <br />foundation shall be managed by its Board of Trustees. <br /> <br />4.2 Number, Tenure and Qualifications. The number of trustees of the <br />foundation shall be no greater than L. The term of office of trustees is three years and <br />until their successors shall have been elected and qualified, or until their death or until <br />they shall resign or shall have been removed. The successor chosen to fill a vacancy <br />caused by the death, resignation or removal of a trustee shall serve the balance of the <br />term for which the original trustee was elected; one-third of the trustees' terms of office <br />shall expire annually. Trustees shall be residents of the State of Colorado. Trustee <br />vacancies shall be filled by the Executive Committee. Members of the initial board of <br />trustees shall be randomly assigned a term of office such that one-third haye terms <br />expiringin one year, one-third expiring in two years and on-third in three years. <br /> <br />Trustees shall broadly represent the state's diverse water and education interests.
