<br />ARTICLES OF INCORPORATION <br />OF <br /> <br />e <br /> <br />Colorado Water Education Foundation <br /> <br />The undersigned persons acting as incorporators of a corporation under the <br />Colorado Nonprofit Corporation Act, sign and acknowledge the following Articles of <br />Incorporation for such corporation: <br /> <br />FIRST: <br />Education Foundation. <br /> <br />The name of the corporation is Colorado Water <br /> <br />SECOND: <br />foundation. <br /> <br />The corporation shall be a publicly supported educational <br /> <br />THIRD: The purpose or purposes for which the corporation is <br />organized is exclusively for the development and dissemination of impartial educational <br />programs for the people of Colorado to provide a wide range of water-related information <br />from various viewpoints with no advocacy position taken on any issues in order to foster <br />a broader understanding of water challenges among the general population and to aid in <br />the informed and timely discussion of water issues, to own real and personal property <br />and to have all powers, rights and privileges consistent with such purposes. The <br />corporation is empowered to do and. perform all acts that are reasonably necessary, <br />desirable, convenient and incidental to the accomplishment of the purposes of the a <br />corporation as are allowed under the laws of the state of Colorado and as are not ., <br />prohibited to a corporation under Section 501 (c)(3) nor would result in a tax liability <br />under Chapters 41 or 42 of the Internal Reyenue Code of 1986 and regulations <br />thereunder. <br /> <br />FOURTH: In its Board of Trustees, Selection Committee and <br />Executive Committee as hereinafter set forth the broadest variety of viewpoints, <br />including, but not limited to, agriculture, business and industry, educational institutions, <br />environmental interest organizations, governments, interest associations, journalism and <br />broadcasting, silviculture, trade associations, water consumers, water providers and all <br />geographiC areas of the state shall be represented. <br /> <br />FIFTH: No part of the net earnings of the corporation shall inure to <br />the benefit of or be distributable to its trustees, officers, contributors, or other private <br />persons, except that the corporation may pay reasonable compensation for services <br />rendered, may acquire and dispose of interests in real and personal property and pay a <br />reasonable consideration therefor, may incur reasonable expenses related to its <br />purposes and may make distributions to tax exempt organizations with similar purposes. <br />Upon dissolution of the corporation the Board of Trustees shall, after paying or making <br />prov'lsion for the payment of all of the liabilities of the corporation, dispose of all of the <br />assets of the corporation exclusively for the purposes of the organization in such a <br />manner or to such other organization or organizations organized and operated <br />exclusively for charitable, educational, religious or scientific purposes as shall at the time <br />of such disposition qualify as an exempt organization under Section 501(c)(3) of the a <br />Internal Revenue Code of 1986. .. <br />
