GRANT AWARD

THIS Grant Award, made this day of " by and between the
State of Colorado for the use and benefit of the Department of Natural Resources, Colorado
Water Conservation Board, hereinafter referred to as the CWCB and/or State, and the
Colorado Water Congress, a nonprofit corporation, located at 1580 Logan Street, Suite 400,
Denver, Colorado 80203, hereinafter referred to as the Grantee.

FACTUAL RECITALS

1. WHEREAS, HB 02-1152, Section 25 expressly authorizes and appropriates sufficient
funds which have been unencumbered and are available for payment by means of a grant
as follows: Fund Number 424, Organization YYYY, Appropriation Code CWC, GBL C097,
Program wrRC, Object Code 5781, Contract Encumbrance No. C150097.

2. WHEREAS, the State is also authorized to make non-reimbursable expenditures from the
CWCB Construction Fund with specific authorization from the General Assembly pursuant
to Section 37-60-121 (1)(b)(IV), C.R.S.

3. WHEREAS, HB 02-1152, expressly requires the funds to be provided to the Grantee for
the establishment of a water education Foundation and the continued support of water
education programs that fit within the statutory mission of the Foundation.

4. WHEREAS, the Foundation and the State's funding must promote a better
understanding of water issues through educational opportunities and resources so
Colorado citizens will understand water as a limited resource and will make informed
decisions.

5. WHEREAS, HB 01-1152 also authorizes continued and direct annual funding in the
amount of $150,000 to a water education foundation once established, and requires the
State to report to the Grantee if the purposes for which funding is provided are not being
accomplished by the Foundation.

6. WHEREAS, the State may set annual terms and conditions on the expenditure of funds,

7. WHEREAS, required approval, clearance, and coordination have been accomplished from
and with appropriate agencies.

8. WHEREAS, the State and the Grantee have agreed to a Scope of Work (Attachment 1)
and a Disbursement Schedule for the funds.

NOW THEREFORE, in consideration of the mutual and dependent covenants contained
herein, the parties agree as follows:

A. Performance of Grant.

(1) The Grantee shall expend funds provided in accordance with the Scope of Work. The
Scope of Work shall contain: (1) a description of tasks necessary for the formation and
operation of the foundation, (2) a time frame for the completion of the tasks, (3)
preliminary Goals and Objectives and (4) a proposed budget.
