<br />under Bill HB02-1152 to receive the benefit of the funds provided by CWCB to CWC for water
<br />education activities under Contract No.CI50094. eFWE agrees to undertake and fulfill all
<br />requirements and goals of Bill HB02-1152 and Contract No. C150094 for water education under and e
<br />pursuant to the terms and conditions of this Agreement (hereinafter sometimes referred to as the
<br />"Services"). In particular, CFWE shall perform the Services in accordance with and pursuant to the
<br />Scope of Work, Preliminary Goals and Objectives and Proposed Budget attached to Contract No.
<br />Cl50094 as Attachment 1. CFWE is responsible for providing its own personnel, training, tools and
<br />all other items necessary for performance of its oblig~tions hereunder.

<br />2. CFWE Board of Directors. CFWE shall ensure that its board of trustees is comprised
<br />of, but not limited to, a) the Chair of the House Agriculture Committee, b) the Chair of the Senate
<br />Agriculture Committee; c) two persons appointed by the CWCB; d) two persons appointed by the
<br />CWC; e) one person appointed by the Colorado Department of Natural Resources; and f) one
<br />representative from the following perspectives: industry, K-12 education, adult education, higher
<br />education, water education, water conservation, water supply, water law, water qualiry, recreation,
<br />fundraising/finance, and budget/finance; including ~ representative from the agricultural perspective
<br />and a representative from the environmental perspeqtive.

<br />3. Time of Commencement and Completion of Services. CWC shall not dictate times of
<br />performance of the Services, except that the Services.shall be commenced on or about November 14,
<br />2002, and shall be completed no later than June 30,2004. In the event that Contract No. C150097 is
<br />extended by CWC and CWCB, or if such conttact is replaced by a new similar contract, this
<br />Agreement shall be automatically extended for the same period of time. Time is of the essence of this
<br />Agreement. Any extensions of the time limits set forth herein must be agreed upon in writing by the
<br />parties hereto. This Agreement shall automatically terminate, and both parties shall be released from
<br />all obligations hereunder, in the event that the State 'of Colorado for the use and benefit of the
<br />Department of Natural Resources, CWCB, does not: execute proposed Conttact No. C150097 in
<br />substantially the form attached hereto as Exhibit A on or before __________________.

<br />4. CFWE Responsibilities. CWC shall hot oversee the work of CFWE or instruct CFWE
<br />on how to perform the Services. CFWE shall be responsible for the professional qualiry, technical
<br />accuracy, timely completion and coordination of theiServices. CFWE shall only employ qualified
<br />persons for performance of the Services. CFWE sha(l submit to CWC, on or before April I of each
<br />year, the report identifying the previous year's accomplishments and a proposed plan of action for the
<br />upcoming year described in Section A(2) of Contract No. CI50097. CWC shall have the right to
<br />review and approve the work products listed above prior to their submission to CWCB under Conttact
<br />No. C150097. CFWE staff shall attend meetings of the CWCB upon request to discuss the annual
<br />reports and progress in completing the Services. '

<br />5. Fundinl!. CWC shall request incremental disbursement of funds in the amount of
<br />$50,000 from CWCB under Contract No. C150097ion or before December 2, 2002, January 2, 2003,
<br />March 3, 2003, and May 1, 2003, or as soon after such dates as possible in the event that Contract No.
<br />C 150097 is not executed by the State of Colorado fo~ the use and benefit of the Department of
<br />Natural Resources, CWCB, before one or more of such dates. On or before June 2, 2003, CWC shall
<br />request disbursement of all remaining funds availabl<r under Contract No. C150097. In addition,
<br />CWC shall request incremental disbursement of funds in the amount of $50,000 from CWCB under
<br />Contract No C150097, or succeeding conttacts, on qr before July 1, October 1, and January 1 of each
<br />fiscal year after Fiscal Year 2003 so long as cwc and CWCB are party to a conttact under Bill HB02-
<br />1152, Section 25. Within 10 business days after rec~iving funds from CWCB under Contract No.
<br />C150097 or succeeding conttacts, CWC shall transmit such funds to CFWE. CFWE shall utilize said
