Dear Ms.Mayor:
Pursuant to the letter dated May 11, 2005, from Jefferson H. Parker, Esq. to the Colorado Water
Conservation Board("CWCB") on behalf of the City of Victor, the CWCB reviewed the parity certificate
prepared by Paul Nelson, C.P.A., and dated May 6, 2005.
The certificate satisfies the restriction on additional debt contained in the City of Victor's loan
contract with the CWCB. Accordingly, the City of Victor may execute the proposed loan from the
Colorado Water Resources and Power Development Authority on parity with the CWCB Loan No.
150081.
