The undersigned, by and on behalf of Anton Collins Mitchell LLP, Certified Public
Accountants, Greeley, Colorado, in connection with the issuance by Little Thompson Water
District, acting by and through its water activity enterprise, Larimer, Weld and Boulder Counties,
Colorado (the "District"), of its Water Revenue Refunding Bonds, Series 2011, dated October
19, 2011, in the aggregate principal amount of$5,500,000 (the "Series 2011 Bonds"), hereby
certifies as follows (capitalized words and phrases used herein shall have the same meaning as
set forth in the Resolution of the District adopted on September 15,2011 authorizing the issuance
of the Series 2011 Bonds (the"Resolution")):
1. I am an independent certified public accountant within the meaning of § 12-2-
115, C.R.S., as amended, licensed to practice in the State of Colorado.
2. The District has provided me with unaudited financial information which permits
me to calculate Net Revenue for the 12-month period ending August 31, 2011. The District has
also provided me with copies of the following documents:
(a) the resolution of the District adopted.on March 4, 2004 (the "Series 2004

Water Conservation Board, and the loan contract executed in connection therewith, dated
December 1, 2004(the"2004 CWCB Loan");
(d) the resolution of the District adopted on September 14, 2005 (the "2006
CWCB Resolution") providing for the issuance of the District's Note to the Colorado
Water Conservation Board, and the loan contract executed in connection therewith, dated
February 21, 2006 (the"2006 CWCB Loan");
(e) the resolution of the District adopted on April 27, 2006 (the "CWRPDA
Resolution") providing for the issuance of the District's Note to the Colorado Water
Resource and Power Development Authority, and the loan contract executed in
connection therewith, dated April 1, 2006 (the "CWRPDA Loan");
