• This MOU would be executed after BLM/USFS approve the SG Plan, and
would govern the first three-to-five year provisional period of the Plan.
3. Long-Term MOU or Legal Entity for SG Plan administration.
• The SG Plan provides that"[d]uring the provisional period,the
stakeholders will develop either(a)a comprehensive Memorandum of
Understanding among the participating stakeholders(or other form of
agreement); (b) a formal legal entity(e.g., corporation,joint venture,
partnership, etc.); or(c)both,that will govern the overall administration of
the Plan." [SG Plan, Section VI.,page 33;AttaceritB, Section 3.A(2)].
The SG Plan also recognizes that this"long4erinOU or legal entity
would be entered into subsequent to sunsetof the Pon Pill."

• Consistent with the above,the Dieing Committee recomniiii4sthat the
content of a long-term MOU or leg 'entity,. deferred for consideration
until the SG Plan is approved and we com hence operations under the
provisional period of the Plan.
