CHATFIELD REALLOCATION MANAGEMENT THIS AGREEMENT, is made and entered into by and between CENTENNIAL WATER AND SANITATION DISTRICT, a quasi-municipal corporation of Douglas _ County, Colorado, (hereinafter called ."Owner") and LEONARD RICE ENGINEERS, INC., (hereinafter called "Consultant") effective this day of , 2007. In Consideration of the compensation to be paid hereunder and the mutual agreements hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Consultant shall provide those services described and set forth on Exhibit A attached hereto and incorporated herein by this reference. 2. TERM OF AGREEMENT This Agreement shall become effective on the dated set forth above, and shall remain in full force and effect until the earlier of the completion of the Scope of Services or Mai'ch-31, 2008, unless sooner terminated as hereinafter provided. COMPENSATION As compensation for the services to be performed by Consultant hereunder, Owner will pay Consultant the amounts set forth on Exhibit B in the manner and method described on Exhibit B, which is attached hereto and incorporated herein by this reference. 4. PERSONAL PERFORMANCE Consultant's obligation to provide the services under this Agreement is personal, and the Consultant expressly understands and agrees that the services to be performed shall not be assigned or transferred without the consent of Owner. 5. INDEPENDENT CONTRACTOR Consultant, for all purposes arising out of this Agreement, is an independent contractor and shall not be termed an employee of Owner. It is expressly understood and agreed that Consultant shall not be entitled by any benefits to which employees of the Owner are entitled including, but not limited to, overtime, retirement benefits, workers' compensation, injury leave or other leave benefits.
