b. PRRIF agrees to accept TNC Property subject to the terms and conditions of the <br /> NAWCA Grant Agreement and the Nebraska Environmental Trust Grant Agreement that <br /> funded(in part)TNC's purchase of TNC Property, as described in Paragraph 2 above. <br /> c. The Deed to TNC will contain a restriction on new buildings and structures on the PRRIF <br /> Property,substantially as follows: "Grantee and its successors and assigns are restricted from <br /> building or placing any new or additional structures on the real estate.This restriction includes <br /> mobile homes or trailers built on a chassis with no foundation as well as structures,mobile <br /> homes or trailers attached to the real estate or placed on a foundation. Notwithstanding the <br /> foregoing,existing structures located on the Property,as shown in Exhibit X to this Deed may be <br /> maintained,repaired,used,altered,removed,and replaced in the same location,but shall not be <br /> enlarged. Also,notwithstanding the foregoing,hunting blinds with a footprint of no greater than <br /> 200 square feet may be constructed,maintained,and used on the real estate." Existing structures <br /> excepted from the provisions herein are shown on the attached Exhibit C. <br /> d. Full possession of the PRRIF Property,free of all tenants and occupants,shall be delivered at the <br /> time of the delivery of the deed,subject only to an existing haying lease. PRRIF will compensate TNC$13,200.00 for the <br /> loss of revenue for the 2015 hay crop,which will be paid to TNC on or before May 1,2015. <br /> e. Full possession of the TNC Property,free of all tenants and occupants,shall be delivered at the <br /> time of the delivery of the deed,subject only to an anticipated grazing lease,which shall have a <br /> term that terminates on or around October 1,2015. TNC will assign the lease to PRRIF at closing <br /> and will remit to PRRIF at closing any amounts received by TNC as lease payments prior to <br /> closing. <br /> f. PRRIF acknowledges that TNC Property is subject to a License for Well Installation between <br /> PRRIF and TNC. <br /> 5. Possession. Each party shall deliver the other party possession of the premises to be exchanged <br /> concurrently with the exchange of deeds conveying title,except for the rights of"Leaman" in the PRRIF <br /> Property set out in 4.d.above and the rights of others in TNC Property as set out in 4.e.and 4.f.above. <br /> 6. Taxes and Assessments. Each party shall pay real estate taxes assessed against the premises <br /> presently owned by that party for the year 2014 which are due and payable in 2015 and all prior years. <br /> 7. Right of Entry and Property Inspections.The Parties and their duly authorized agents and invitees <br /> may enter upon the other Party's Property at reasonable times prior to closing for all reasonable purposes <br /> related to this transaction. The Parties and their duly authorized agents shall also have the right to inspect <br /> the other Party's Property and any improvements on the Property and conduct physical and <br /> environmental inspections and assessments of the Property and any improvements at any time prior to <br /> closing(and to update those inspections and assessments,as circumstances may require).
