REEOWTE,-1- Liz 3 <br /> O1 66 ) <br /> AGREEMENT TO EXCHANGE REAL ESTATE <br /> THIS AGREEMENT is made the JS d y of V4it.z*r ,201 ,between Platte River <br /> Recovery Implementation Foundation,a Nebraska nonprofiorporation, Trustee,hereinafter referred to <br /> as "PRRIF", and The Nature Conservancy,a non-profit corporation of the District of Columbia, <br /> hereinafter referred to as"TNC." <br /> WHEREAS,PRRIF owns real estate described on the attached Exhibit "A"and incorporated by this <br /> reference. <br /> WHEREAS,TNC owns real estate described on the attached Exhibit"B" and incorporated by this <br /> reference. <br /> 1.Conveyance by PRRIF to TNC. PRRIF shall exchange,transfer and convey to TNC the following- <br /> described rear estate: <br /> Real estate described on Exhibit"A" <br /> (the"PRRIF Property"),free and clear of liens and encumbrances,subject.to matters of record acceptable <br /> to TNC. <br /> 2. Conveyance by TNC to PRR1F. TNC shall exchange,transfer and convey to PRRIF the following- <br /> described real estate: <br /> Real estate described on Exhibit"B" <br /> (the"TNC Property"),free and clear of liens and encumbrances,subject to matters of record acceptable to <br /> PRRIF, including the following,which shall be noted in the deed conveying the TNC Property to PRRIF: <br /> (a)"Subject to the terms and conditions of the Notice of Grant Agreement associated with a North <br /> American Wetlands Conservation Act grant,recorded March 11,2002 in the records of Buffalo County, <br /> Nebraska,as Instrument Number 2002-2541";(b) "The Property was acquired in part with grant funds <br /> provided by the Nebraska Environmental Trust. Grantee shall continue to manage the Property consistent <br /> with the terms and purposes set forth in the NET Grant Agreement(Agreement#98-234)." <br /> 3. Closing.Closing will be held on or before February 27,2015. The closing agent shall be Tri-County <br /> Title&Escrow Company, 1464 27th Avenue,Columbus,Nebraska,68601. <br /> 4. Additional Agreements. <br /> a. In addition to the PRRIF Property described in Paragraph 1 above,PRRIF will provide <br /> additional consideration for TNC Property of$146,136.42,to be paid to TNC at closing. <br />
