The treasurer shall have such other • <br /> powers and perform such other duties as may be from time to time prescribed by <br /> the Board of Directors or the president. The treasurer shall have the ability to sign <br /> checks (two signatures are required for each check) or otherwise make <br /> disbursements from TC depositories. <br /> 6. COMMITTEES. <br /> 6.1 Executive Committee. The Executive Committee shall consist of the president, vice <br /> president, immediate past president, secretary, and treasurer. The Executive <br /> Committee shall meet on call of the president or on the request of any two (2) <br /> members of the Executive Committee. Three (3) members of the Executive <br /> Committee shall constitute a quorum. The Executive Committee shall serve in an <br /> advisory capacity to the president, and shall transact such business as arises <br /> between meetings of the Board of Directors. The Executive Committee has <br /> authority to act for the Board of Directors as per provisions of Section 4.17. <br /> 6.2 Nominating Committee. The president may appoint a Nominating Committee to <br /> nominate individuals to serve as directors of TC. <br /> 6.3 Special Committees. The president, with the counsel of the Executive Committee, <br /> may establish special committees, advisory boards or task forces from time to time, <br /> and assign projects or duties to such committees. The president shall appoint the • <br /> chairperson of each such committee and together the president and committee <br /> chair shall appoint the committee members. <br /> 7. EXECUTIVE DIRECTOR AND STAFF. <br /> 7.1 Employment. The Board of Directors may employ an executive director (ED) and <br /> such additional staff as it deems necessary. If an ED has been hired, that person <br /> may, with prior budgetary approval of the board, hire additional staff as is deemed <br /> necessary. The ED will not be a member of the Board of Directors. <br /> 7.2 Duties. The ED shall carry out the policies and programs of TC, and shall assign <br /> duties and direct and supervise the work of all other employees, staff members or <br /> volunteers. The ED shall perform such other duties as may be assigned from time <br /> to time by the Board of Directors. <br /> 8. RULES OF ORDER. Discussions and idea-generating parts of any meeting of the <br /> Board of Directors, a committee, or members of TC will be governed by such <br /> methods for encouraging discussion as consensus, nominal group technique, <br /> brainstorming, etc. Once a motion and a second are made, the presiding official will • <br /> ask for discussion.
