5.6 President. The president shall, subject to the direction and supervision of the Board <br /> of Directors, be the chief executive officer of TC and shall have general and active <br /> control of its affairs and business and general supervision of its officers, agents and <br /> employees. The president shall preside overall meetings of the Board of Directors <br /> or members in accordance with these Bylaws and parliamentary rules; shall see that <br /> all orders and resolutions of the Board of Directors are carried into effect; shall have <br /> authority to execute on behalf of TC any deed, contract, bond, debenture, note or <br /> other instrument requiring the signature of an officer of TC, except where the <br /> execution of an instrument is expressly delegated by the Board to some other officer <br /> or agent of TC; shall have the ability to sign checks or otherwise make <br /> disbursements from TC depositories; and shall have other powers and duties as <br /> may be conferred by the Board or these Bylaws. The president shall appoint the <br /> chair of all committees and shall be a member ex officio of all committees. <br /> 5.7 Vice President. The vice president shall assist the president and shall perform such <br /> duties as may be assigned by the president or by the Board of Directors. In the <br /> absence of the president, the vice president shall have the powers and perform the <br /> duties of the president. The vice president shall automatically become president <br /> when a vacancy occurs in the office of president. <br /> 5.8 Secretary. The secretary shall: (a) keep the minutes of the proceedings of the <br /> members and the Board of Directors; (b) see that.ail .notices are duly given in <br /> • accordance with the provisions of these Bylaws or as required by law; (c) be <br /> custodian of the corporate records and of the seal of TC, and affix the seal to all <br /> documents when authorized by the Board of Directors; (d) maintain a record of the <br /> names and addresses of all members; (e) transmit all records to his or her duly <br /> elected successor; (f) conduct the correspondence for TC; and (g) in general <br /> perform all duties incident to the office of secretary and such other duties as from <br /> time to time may be assigned to him or her by the president or by the Board of <br /> Directors. <br /> 5.9 Treasurer. The treasurer shall be the principal financial officer of TC and shall have <br /> the care and custody of all funds, securities, evidences of indebtedness and other <br /> personal property of TC, and shall deposit the same in accordance with the <br /> instructions of the Board of Directors. The treasurer shall receive and give receipts <br /> and acquittance for moneys paid in on account of TC, and shall pay out of the funds <br /> on hand all bills and other just debts of TC of whatever nature upon maturity. The <br /> treasurer shall present a financial report at each board meeting and shall transmit <br /> to the successor treasurer all records pertaining to this office. The treasurer shall <br /> perform all other duties incident to the office of the treasurer, and, upon request of <br /> the board, shall make such reports to it as may be required at any time. The <br /> treasurer shall, if required by the board, give TC a bond in such sums and with such <br /> sureties as shall be satisfactory to the board, conditioned upon the faithful <br /> performance of the duties of the office, and for the restoration to TC of all books, <br /> • papers, vouchers, money and other property of whatever kind in the treasurer's <br /> File: TC Bylaws, April 16, 2002.wpd 8 <br />
