propaganda, or otherwise attempting to influence legislation, and the <br /> • Corporation shall not participate in or intervene in any political campaign on <br /> behalf of any candidate for public office. <br /> 1.4 TC shall have all the powers permitted to corporations organized under the laws of <br /> Colorado consistent with a corporation to be organized and operated exclusively for <br /> charitable, scientific and educational purposes within the meaning of Section <br /> 501(c)(3) or Section 170(c)(2) of the Internal Revenue Code of 1986 or any <br /> superseding section or sections thereof. <br /> 1.5 TC is not organized for pecuniary profit. It shall not have any power to issue <br /> certificates of stock or declare dividends. No part of its net earnings shall inure to <br /> the benefit of any member, director, officer or individual. TC shall not have any <br /> power to issue certificates of stock or declare dividends. <br /> 1.6 The members, officers, directors and committee members of TC, and persons <br /> served by TC, shall be selected on a nondiscriminatory basis with respect to race, <br /> color, creed, national origin, sex, handicap or geographic location. <br /> 2. OFFICES. The principal office of TC shall be located in the County of Mesa, State <br /> of Colorado, at a location to be selected from time to time by the Board of Directors. <br /> The initial principal office of TC will be located at 326 Main Street, Grand Junction, <br /> CO 81501. TC may have such other offices within Mesa County, Colorado, as the <br /> Board of Directors may designate or as the business of TC may require from time <br /> to time. <br /> 3. MEMBERS. <br /> 3.1 Qualifications. Membership in TC shall be open to any individual, non-profit <br /> organization, business, governmental entity or other organization which wishes to <br /> support the goals of TC. An individual or organization shall submit an application <br /> for membership to TC's Board of Directors, and shall become a member upon <br /> acceptance by the Board and payment of dues. <br /> 3.2 Dues. Each member shall pay dues to TC, as determined from time to time by the <br /> Board of Directors. <br /> 3.3 Rights and Privileges of Membership. Each member who has paid the membership <br /> dues in a timely fashion is entitled to one vote on all matters coming before the <br /> membership, including the election of directors; is entitled to hold office; and is <br /> entitled to receive periodic reports from the Board of Directors. <br /> 3.4 Entity Members.
