The undersigned, by and on behalf of Wall, Smith, Bateman and Associates, Inc.,
Alamosa, Colorado, in connection with the execution and delivery by Pagosa Area Water and
Sanitation District, Archuleta County, Colorado, aging by and through its Water and Sewer
Activity Enterprise (as so acting, the "District'j, of (a) the Loan Agreement dated as of
September 1, 2009 (the "2009 CWRPDA Base Program Loan Agreement") between the
District and the Colorado Water Resources and Power Development Authority (the
" CWRPDA") and the Governmental Agency Bond issued by the District pursuant thereto dated
as of September V. 2009 (collectively with the 2009 CWRPDA Base Program Loan Agreement,
the "2009 CWRPDA Base Program Financing Documents ") and (b) the Loan Agreement dated
as of September Y. 2009 (the "2009 CWRPDA ARRA Program Loan Agreement") between the
District and the CWRPDA and the Governmental Agency Bond issued by the District pursuant
thereto dated as of September 41. 2009 (collectively with the 2009 CWRPDA ARRA Program
Loan Agreement, the "2009 CWRPDA ARRA Program Financing Documents "), hereby certifies
as follows (capitalized words and phrases used but not defined herein shall have the same
meanings as set forth in the 2009 CWRPDA Base Program Loan Documents, the 2009
CWRPDA ARRA Program Loan Documents or the 2009 CWRPDA Approving Resolution (as
defined below), the Series 1998 Bond Resolution (as defined below), the Series 2006 Bond
Resolution (as defined below), the 2008 CWRPDA Financing Documents or 2008 CWRPDA
Approving Resolution (both as defined below), or the 2008 CWCB Financing Documents or
2008 CWCB Approving Resolution (both as defined below), as applicable):
1. I am an independent certified public accountant within the meaning of
§ 12 -2 -115, C.RS., as amended, licensed to practice in the State of Colorado.
2. The District has provided me with copies of the following documents:
(a) the District's audited financial statements for the year ended December 31,
2008;
(b) the District's unaudited year -to -date financial statements for the period of
January 1, 2009 through July 31, 2009;
