NOW TSEREIME, by this Resolution, the District requests that the CWCB convey to the
District, by quitclaim deed, and upon the conditions set forth above, the real property located in the
Cy': area of the Durango Pumping Plant Site which die CWCB has or will acquire from the CDPHE.

L Mike Griswold, Secretary of the Anus -La Plata Water Conservancy District, do hereby certify
that the above is a true and correct copy of a resolution approved by the Board of Directors of the
District at a regular meeting of the Board held in Marvel, Colorado on April 8, 1998, in which a
quorum of Directors was present and voted to authorize the acquisition of the Durango Pumping
Plant Site from the CWCB.
