successors and assigns; each sometimes hereinafter called "Party," and sometimes
hereinafter collectively called the "Parties."
2. EXPLANATORY RECITALS
2.1 The Salt Lake City Area Integrated Projects, hereinafter called the Integrated
Projects, encompass certain facilities for the production of electric power and
energy. Western transmits power and energy over the Colorado River Storage
Project (CRSP) transmission system and transmission systems of other utilities.
2.2 Reclamation constructed the Animas -La Plata Project, hereinafter called the
Project, as a participating project of the CRSP.
2.3 The Contractor shall assume responsibility for operation and maintenance of the
Project facilities through Reclamation's transfer process as outlined in Section 5
of the Operation, Maintenance, and Replacement Contract (Contract No. 10 -WC-
40 -370), dated December 30, 2009, between the Contractor and Reclamation,
hereinafter called the OM &R Contract and incorporated into this Contract and
implemented and provided therein. However, during any period in which the
United States is performing the OM &R of the Project facilities, as provided in
Section 7 of the OM &R Contract including assuming responsibility for electric
service under this Contract, Reclamation will be considered the Contractor under
the terms and conditions of this Contract.
