ANIMAS LA PLATA OPERATIONS, MAINTENANCE, AND REPLACEMENT
ASSOCIATION RESOLUTION NO. 2010 -01
A RESOLUTION ESTABLISHING A THREE PARTY AGREEMENT (CONTRACT) BETWEEN
THE UNITED STATES DEPARTMENT OF INTERIOR, BUREAU OF RECLAMATION
(RECLAMATION), UPPER COLORADO REGION, AND THE UNITED STATES
DEPARTMENT OF ENERGY, WESTERN AREA POWER ADMINISTRATION (WAPA), SALT
LAKE CITY AREA INTEGRATED PROJECTS, AND THE ANIMAS LA PLATA OPERATIONS,
MAINTENANCE, AND REPLACEMENT ASSOCIATION (ASSOCIATION), TO SUPPLY
ELECTRIC SERVICE TO THE ANIMAS LA PLATA PROJECT.
WHEREAS, Reclamation constructed the Animas La Plata Project as a participating
project of the Colorado River Storage Project (CRSP) which makes it eligible for Other Priority
Use Power, which is power reserved by Reclamation for project purposes and used for
municipal or industrial;
WHEREAS, WAPA transmits power and energy over the CRSP transmission system
and transmission systems of other utilities;
WHEREAS, the Association shall at some future date assume responsibility for
operation and maintenance of the Animas La Plata Project facilities through Reclamation's
transfer process as outlined in Section 5 of the Operations, Maintenance, and Replacement
contract (Contract No. 10 -WC -40 -370), dated December 30, 2009, between the Association and
Reclamation;
WHEREAS, the Contract shall become effective upon the date of execution by the
Parties, and shall remain in full force and effect until terminated by mutual written agreement of
WAPA, Reclamation, and the Association unless terminated pursuant to Article 11 of Contract
No. 10 -WC -40 -370 between the Association and Reclamation;
WHEREAS, initial service under this Contract will begin on the first day of the first month
following assumption of the responsibility for operation and maintenance of the Project facilities
through Reclamation's transfer process as outlined in Section 5 of Contract No. 10 -WC-40 -370;
WHEREAS, the terms and conditions of this Contract are acceptable to the Association.
NOW, THEREFORE, BE IT RESOLVED BY THE ASSOCIATION, THAT:
1. The Chairman is authorized to execute Contract No. 09 -SLC- 0645 among the United
States Department of the Interior, Bureau of Reclamation, upper Colorado Region and
the United States Department of Energy, Western Area Power Administration; Salt Lake
City Area integrated Projects and the Animas -La Plata Operation, Maintenance, and
Replacement Association for electric service to the Animas -La Plata Project.
