ARTICLE 5
Sect(on I^ The Presldent shall ba tha chief executive officer oF tha Company.,
Sect(dn 2- The secr.atary shall keep a record of the proceedings of the Board of
Trustees and of the Company, shall have cfiarge of the books and papers of the
Company, shall attest all bllls and officlat papers and keep a compieta set of
books, showtng the entlre business of the Company, shall recelve all monies and
pay them over to cha treasurer takfng hfs receipt therefore, shall make an annual
re.port and submft tha same at the annual meeting or oftener ff requested by the
Trustees and explain the same.
Saction 3- The treasurer shall ba the custodian of and recalve ail monies, pay
them out only upon proper,orders signed by the President and attested by the
secretary,
ARTICIE 6
Sectlon I- Certtficates of stock shall be Issued under seal of the Company and
be signed by the President and secretary.
Saction 2- No transfer of stock shall be allowed except on return and cancellat(on
of the o!d certificate , and no certiffcate shall be transferable while the assignor
of such certificate of stock shall be Indebted to the Company, unless a vote of
maJorfty of the Board of Trustees shail authorize the same.
ARTICLE 7
Sactfon 1- The labor of a man and team shall entttle the stockholder to a credlt
on his account of thirty cents per hour. �
Sectlon 2- The superintendent shall have the authority to give the proper credit
for work,
Sectlon 3- Credit shall be allowed only for Falthful servlees. It being the In-
tention of these By-Laws, that every person shall perform work on the ditch the
same as though he was at work for an Indlvidual.
ARTICLE 9
Sectlon 1- These By-Laws may be attested, amended, modifled or added to by the
votes of tha maJority at the stockholders at any annual meeting or speclal meettng
cailed for that purpose and the secretary shall enter such alteratlon, change,
add(tion or amendment in the�records and add the same to the By-Laws.
ARTICLE 9(Adopted February 22, 1887)
Any assessment on paid up stock of the Dry Creek Ditch Company made by the stock-
holders or Trustees thereof which shall not ba paid when the same ts due shall
bear fnterest at the rate of ten par cent per annum untfl pa1d, and (f default
shail be made in the payment of the same and the interest tliereon for the term of
threa months from the time the same was due tha sa(d stock shall then be deciared
forfelted by the safd Trustees of said corporation and shall be sold by the
treasurer of sald corporatton at Laporte at publlc sale to the highest bfdder there-
fore for cash and upon presentat(on of a certlflcata of sald sale signed by the
treasurer to tha secretary of said corporatlon. He shall fila sald cartlficate and
make a proper transfer vf such stock to the buyer thereof upon the stockbook of
safd corporat►on, provided that no forfeiture of any share of stock shaii be de-
clared agalnst any stockhoider before damand shall have been mada for the amount
due thereon by the secretary vf safd corpo.ratlon either in.person or by a written
or pri�ted notice duly melled to tha last known address of sald stockholder at
least thtrty days prior to the tlma when such forfelture ls to take effect and
provided also that notice of the sale of stock shall be glven prevlous to said
sale In the same manner and for the same length of t(mo as is now required In
sales of personal proparty under execution.
