TAKEN FRUM THE MINUTES OF THE �nY CREEK DITCH COMPANY OF FEBRUAkY 29, 1884. <br />. . <br />BY-LAWS ADOPTED <br />ARTICLE I <br />The'torporate name of thts Company shali be as stated In the Certlficate of in- <br />corporation, "The Dry Creek Dftch Company. <br />ARTICLE 2 <br />The obJects of this Company shall be as stated ln Certiflcate of Incvrporatlon, <br />"The Irrlgation of lands for agri�ultural and domest(c purposes. <br />ARTICLE 3 <br />Sectlon I- The annual meeting of the stockholders for the election of Trustees <br />and for such other businass as Is proper to come before lt, shall be held on the <br />22nd of February at two 0'clock P,M. each year, except when that day shall fall <br />on 5unday, then the meeting shal) be held on the following Monday at the vtllage <br />of LaPorte, Larimer County, Coloradv, <br />Sectlon 2- Ten days public not(ce shall be given by pubifcatlon in some paper <br />printed at or nearest to satd LaPorte. <br />Sectfon 3- At sald meeting the Prasident shall act as chairman, who shail then <br />appoint a secretary pro tem. The chalr shall appolnt a teller. The chalr shall <br />then declare the poles open for tha elect(on of 3 Trustees to serve for one year <br />or untll their successors are duly elected. <br />Sectlon4 - Each stockholder shail be entitled In person or by proxy to one vote <br />for each share of stock held by them. Any person hoiding stock tn less amounts <br />than one share sliall be entitled to vote in proportlon to the stock so held by <br />him or them. • . <br />Section 5- If for any reason the annual meeting should not be held on the day <br />above mentloned in Sectfon I of thls Article, it may be held on any day fixed by <br />the Trustees or at the written request of one-half of the stockholders, but this <br />annual meeting shall be published as provfded in Sactlon 2 of thls Article. <br />Sectlon 6- Special meeting of the stockholders may be called by the Trustees or <br />by wrftten request of one-thtrd of the stockholders. In either case, the secre- <br />tary shall mall a notice oF sa(d speclai meeting to the last known Post Office <br />address of each stockholder at least 30 days prevlous to safd meeting. <br />5ectlon 7- At all meeting of the stockhoiders a maJority of the stock must be <br />represented In person or by proxy to transact business. <br />ARTICLE 4 <br />�.IAN f 1 too, <br />o� <br />��� <br />rf <br />iectlon I- The Trustees shall be elected annually as provlded In Article 3, <br />�ectlon 2- After the annual meeting and the election of Trustees then the Trustees <br />�hall call a meettng a�d shall elect one of thefr members President, one secretary <br />ind one treasurer who st�all hold thelr office for tha same term as the Trustees. <br />�ect(on 3- The Trustees shall appolnt superintendent who shali hold his oFf(ce <br />`or one year or at the pPeasure of the Trusteas. <br />�ectlon 4- 7he Trustees shall flx the compensatfon of the suparintendent and <br />:ecretary at a fair and (►beral amount. <br />�ectlon S- The Trustees shall have the power to require bonds of any oFficer or <br />•mployee of tha Company in such amount as they deem prudent for the safety of tha <br />ompany. <br />ection 6- The Trustees may delegate to the superintendent such authority as they <br />eem expedient and wholesome for the banafit of the Company. <br />ectfo� 7- The Trustees shall have full management of the ditch, <br />ection 8- The Trustees may call meetings of thelr body aC any t(me and place by <br />otifying each member of the Board either verbally or In writing. <br />ectton 9- AI1 vacancles In the Board of Trustees may be filled by the remaining <br />�embers. <br />� <br />
