PARTIES <br />This Contract (hereinafter called "Contract ") is entered into by and between AMEC Earth & Environmental Inc. <br />(hereinafter called "Contractor "), located at 355 South Teller Street, Suite 300, Lakewood, CO 80226, and the <br />STATE OF COLORADO acting by and through the Department of Natural Resources, Colorado Water <br />Conservation Board, 1313 Sherman Street, Suite 721, Denver, CO 80203 (hereinafter called the "State" or <br />"CWCB "). Contractor and the State hereby agree to the following terms and conditions. <br />2. EFFECTIVE DATE AND NOTICE OF NONLIABILITY <br />This Contract shall not be effective or enforceable until it is approved and signed by the Colorado State <br />Controller or designee (hereinafter called the "Effective Date "). The State shall not be liable to pay or reimburse <br />Contractor for any performance hereunder including, but not limited to, costs or expenses incurred, or be bound <br />by any provision hereof prior to the Effective Date. <br />3. RECITALS <br />A. Authority, Appropriation, And Approval <br />Authority to enter into this Contract exists in CRS 37 -60 -101 and funds have been budgeted, appropriated <br />and otherwise made available pursuant to SB 08 -1346 and a sufficient unencumbered balance thereof <br />remains available for payment. Required approvals, clearance and coordination have been accomplished <br />from and with appropriate agencies. <br />
