� <br />�� <br />pay for PRO�ECT costs up to a maximum amount of $25,000 in the following manner: <br />a. Statement of costs. During the construction of the PRO�ECT th2 CONTRACTOR Shall <br />prepare statements of PRO�ECT costs incurred and submit such statements to the STaTE <br />for payment. <br />b. Payment of statements. Upon receipt and approval by the STATE of each such <br />statement of costs, in accordance with the cost share as shown in Factual Recital E, the <br />STATE WIII within 30 days from the approval of such statement pcly t0 thG CONTRACTOR <br />the amount of the statement or such portion thereof as has been approved by the STATE. <br />8. Extension of time for pertormance. The CoNTRACTOR may request an extension of the <br />completion date of the STU�Y or PRO�ECT by providing written documented justification for <br />such a request sixty (60) days prior to the end of the period for completion. The STaTE <br />shall provide to the CorvTRa,CTOR a letter approving or denying such request. The parties <br />shall execute an amendment to this contract evidencing such extension for time for <br />performance. <br />9. Termination of contract for cause. If, through any cause the CONTRACTOR f311S t0 fUlflll Itl <br />a timely and proper manner its obligations under this contract, or if the CotvTRACTOR violates <br />any of the covenants, agreements, or stipulations of this contract, the STaTE shall thereupon <br />have the right to terminate this contract for cause by giving written notice to the <br />CoNTRACTOR of such termination and specifying the effective date thereof, at least five (5) <br />days before the effective date of such termination. In that event th2 CONTRACTOR ShSll <br />provide the STATE with copies of all finished STU�Y development, data, drafts and <br />conclusions prepared by the CONSULTANT pursuant to any contracts between the <br />CONTRACTOR aCld th@ CONSULTANT C2latltlg t0 th@ STUDY. Th@ CONTRACTOR Shall pCOVld2 <br />such copies to the STaTE within thirty (30) days of the effective date of such termination. <br />Upon submittal to the STaTE of a statement of STU�Y costs for the period preceding the <br />effective date of the termination of this contract, the CoNTRaCTOR shall be entitled to receive <br />the STATE share of the cost of any such STU�Y materials that have been prepared before <br />the effective date of termination of this contract, have been provided to the STaTE, and have <br />not yet been paid for as of the effective termination date. <br />10. Contract relationship. The parties to this contract intend that the relationship between <br />them contemplated by this contract is that of cost-sharing co-participants, not <br />employer-employee nor principal-agent. No employee, agent, or servant of the <br />CONTRACTOR ShBII b@ or shall be deemed to be, an employee, agent, or servant of the <br />STATE. <br />11. Severability. To the extent that this contract may be executed and performance of the <br />obligations of the parties may be accomplished within the intent of the contract, the terms of <br />this contract are severable, and should any term or provision hereof be declared invalid or <br />become inoperative for any reason, such invalidity or failure shall not affect the validity of <br />any other term or provision hereof. The waiver of any breach of a term hereof shall not be <br />construed as waiver of any other term. <br />12. Assignment. Neither party may assign its rights or duties under this contract without the <br />prior written consent of the other party. <br />13.Integration of all understandings.
