� � <br />demonstration project. The General Assembly specified that the CoNTRacTOR will develop <br />the Scope of Services for the STU�Y in consultation with the CWCB. <br />H. The CoNTRaCTOR and the District shall direct the preparation of the STU�Y in cooperation <br />with the CWCB and the Project Technical Review Committee (comprised of local <br />sponsors), and shall retain a consultant to conduct certain portions of the STU�Y. <br />NOW THEREFORE, in consideration of the mutual and dependent covenants contained <br />herein, the parties agree as follows: <br />1. Preparation of SruoY. The CONTRACTOR Shall require the CONSULTANT t0 p@t'fOt'CTl th@ <br />Sru�Y tasks in accordance with the STU�Y Scope of Services attached as Appendix 1 and <br />incorporated herein. The CoNTRaCTOR's and District's staffs shall perform certain STU�Y <br />tasks in accordance with the same Scope of Services. <br />2. Time of Sruov performance. The Co►vTRACTOR recognizes that time is of the essence in <br />the performance of its obligations under this contract. Therefore, th@ CONTRACTOR Shall <br />require its staff, the District's staff and the Corvsu�TarvT to complete the tasks listed in the <br />STU�v Scope of Services on or before one (1) year from the effective date of this contract. <br />3. Disbursement of Sru�v funds The STATE Shall dISbUCSe fUC1dS t0 the CONTRACTOR t0 <br />pay for the costs associated with preparing the STUDY up to a maximum amount of <br />$50,000 in the following manner: <br />a. Statement of costs. During the preparation of the STU�Y, the CoNTRaCTOR and the <br />CoNSU�TaNT shall prepare statements of the costs of the STU�Y. Each statement shatl <br />indicate the tasks that have been performed and the percentage completion of each <br />task by task number as specified in the Scope of Services, and shall be approved by <br />the CorvTRACTOR and submitted to the STATE for payment. <br />b. Payment of statements. Upon receipt and approval by the STa,TE of each such <br />statement of costs, in accordance with the cost share as shown in Factual Recital E, <br />the STATE will, within 30 days from the approval of such statement, pay to the <br />CONTRACTOR the amount of the statement or such portion thereof as has been <br />approved by the STaTE. <br />4. Performance of PRO�ECT. The CoNTRaCTOR shall be responsible for the performance of <br />the PRO�ECT in accordance with plans and specifications that have been reviewed and <br />approved by the STaTE. <br />6. Time of PRO�ECr performance. The CoNTRa,CTOR recognizes that time is of the essence in <br />the performance of its obligations under this contract. Therefore th@ CONTRACTOR Shall <br />complete the PRO�ECT within two (2) years from the date the STaTE approves the PRO�ECT <br />plans and specifications. <br />7.
