GRANT CONTRACT
THIS CONTRACT, made this 12th day of April 2007, by and befinreen the State of
Colorado for the use and benefit of the Department of Natural Resources, Colorado Water
Conservation Board, hereinafter referred to as the CWCB and/or STATE, and the SOUTH
PLATTE DITCH COMPANY, 13244 County Road 6, Merino, CO 80741, hereinafter referred to
as the GRAN�EE or CONTRACTOR.

Authority exists in the law, and funds have been budgeted, appropriated and otherwise
made available and a sufficient unencumbered balance thereof remains available for
payment in Fund Number 424 Organization YYYY, Appropriation TEL, GBL S227, Program
WTRC, Object Code 578'I , Contract Encumbrance Number C150227.
Required approval, clearance, and coordination have been accomplished from and with
appropriate agencies.

The CONTRACTOR has requested a nonreimburseable expenditure for the purpose of
conducting a demonstration project to evaluate the effectiveness of certain electronic flow
measurement and ditch operation control equipment featuring innovative radio technology
(the "Project").
The CWCB has determined that the PROJECT will benefit water providers in the lower
South Platte valley, and will assist the CWCB in its water resource planning efforts.
The GRANTEE will develop the PROJECT in cooperation with certain individual
shareholders of the Johnson and Edwards Ditch Company, and the United States Bureau
of Reclamation, in consultation with the CWCB. An agreement befinreen South Platte
Ditch Company and participating shareholders of the Johnson and Edwards Ditch
Company is attached hereto as Appendix A and incorporated herein.
At its November 15, 2005 meeting, the CWCB approved a nonreimbursable expenditure
for th� PROJECT to the GRANTEE in an amount up to $100,000 (35.5% of the total),
approved based on a proposed project cost of $282,000.
