PO WERS AND DUTIES: The Board af Dirrctors shail have the general pvwer to act <br />for and on beltaff of AGUA in any manner not prohibitetf by statute or by the Articies <br />of Incorporation. The Board of Directors sh,ail have the immerliate control aad <br />supervision over the basiness a€fairs and management of AGUA and shail bave the <br />authority to hire �npioyeas, independent contractars or corisuftants as may be <br />necessazy and advisabte to cany out the piuposes of AGUA. The Boazcf of D�rectors <br />may appoint committc�s to expedite the business of the boaz�d, sub}ecz to sugenrision <br />by the board. The Baard of DirecrAr� may, but shall not be zequired to, des�miae <br />and/or promulgate policies and regulations for the operation of AGUA. The directors <br />shall prescribe the fotm of applications and shali act upon a!I applicatioas. The <br />Directors shali provide for the maintenaace ,of accurate recards and books of accouat <br />for the affairs and business of the Association, and s�ali cause reguiar audits to be <br />made az ieast once each year. Said directors, or a committee agpointed by rhe, sball <br />approve and direct all disbvrsements of the funds of AGUA and shall determ.ine the <br />necessity for and the e:�teat of a�ny indebtedness or obligations incurred by �GUA. <br />6. VACANCIES: Vacancies among the D'uectars and Officers of this Assvciatzon may <br />be filled by the Boazd of Directors at any time by ballot. Any D'zrecwr elec►ed to fill <br />a vacancv shall serve as such Director uatil a successor is duly elected and guatifed <br />as provided for in the �rtic.�s c�f Incargoratioa. <br />ARTICLE V <br />b�'FICERS <br />1. The officers of AGL:� shall be a President, Vice-President, and Se�retar�-Treasurer, <br />and shall be chos�n b� the Board of Directors. AlI officers shail serve for a tettn of <br />one year &om the date of the r�nnual Meering and until their successors are duly <br />elected and qualif ed. <br />2.
