order, ~y the repr~sentati~cs af the San Juan Water ~ummissian; the Ca~aradn Water Resources
and Pawer De~elopment ~1utf~nrity; th~ Nav~jo Natinn; the Stat~ of Colarado (if that entity
l~rv~n~;s a member in ~ccardance with Section 2.3.1 ]; the La Plata Water Ganse~evancy District;
and the Southern Ute Indian Tribe. The Se~cretary at~d Treasurer shall be appainied hy the
Manag~m~nt Cornmitt~e and shaIl serve at the wi~l vf the Management Coxnmittee. '1'hey need
not be a representatir~e or alternate af g Mem~xr, and ane person may serve in hath ca}~acities. IF

Assaciaiion as an afficer, employee, fiduciary ar agent af any other f~rei~n ar domcstic prafit ar
nc~nprotit cnrpnratian or nt any gartnership, joint venture, trust, profit ar nonprafit
unincorpc~rated associatian, Iimited liahility campany, other enterprise or empkoyee ~c:ne~t plan,
against any ~iability assc~-tc.~d a~a~st, or incurred by, him in that capacity ar arising aut af ~is
status as such. wh~ther vr not the Assc~ciation wauld have the pawer ta indemnify him a};ainst
such liahility under applicahle law. Any such insurarice may he pracured fram any insurancc
