T~e Secretary shaI~ (i) prepare and maintain as permaraent recvrds the rninutes of'the prac:eedi~~s ofthe Management C~mmittee, and a recard vfal! actians taken by the Mana~esncnt ~arr-mittee, and a rtxvrd vf aIl wai~ers af not~ce of ineetings af the Manag~ment Committc~e: ~ii} see that aIl nntices are duly gi~en in accordance with the pro~isians c7f'this ~~;re~m~nt a~ad as reyuired hy law; (iii} serve as custndian of'the Assaciation records: ~id] keep at the Elssnciatian's registered oftice nr prin~ipal place vf business: (a} a record cantaining the r~aines and addr~sses of all Meml~ers, sucr.cssors, or assi~ms, {l~j the originats ar cvpies vf this Agreement, the Uperatians Frinciples, the Tran~fer Ag~eement, and any nthc.~r agreements of the ~ssaciation. {c} minutes af all Mauiagement Cammittee meetin~s, and all writtcn cvmrr~unications within t~e past three years to Mcmhers, [d} a list of the currenf representati~es anc~ alt~:rnates vn the Management Cammittee, (e} a copy ofthe Assaciatian's mvst rccerzt corporatc repnrt ~Icc~ -~ith the Colarado 5ecretary af State, and financial statements showing in reason~ble detail the Assaciativn's assets and liabi~ities and (f} results vf nperatinns far the iast t~r~e years; (v) auther~ti~ate r~~ords af the AssociaLian; and ~vi} in general, pertarnz all duties ir~cident to tht a#~ce vf secretary and such ather duties as from time to tirrxe xnay bc: assi~ned ta the S~crF:tary by the Mana~ement Cammiite~. `The Management Cammittee may designate a person ot~er than the 5ecretary ta ke~p the rriinutes nf its meetings. 'I"he '£'reasurer shall perfvrm alt vther duties incident to t~e ofFice ofthe Treasurer and, upon request of'the Mana~ement Committee, sha~l make su~h repurts to it ~ts may be required at any time.
